CONTENTS
As previously disclosed, on October 28, 2024, Lilium GmbH and Lilium eAircraft GmbH, the principal operating wholly-owned German subsidiaries (the “Subsidiaries”) of Lilium N.V. (the “Company” or “Lilium”) (together with the Subsidiaries, the “Companies”), filed for insolvency under German law and applied for self-administration proceedings in Germany. On November 6, 2024, the Company filed a motion for opening of regular insolvency proceedings with the competent insolvency court in Germany. The preliminary insolvency proceedings pertaining to the Companies are on-going. Additional information and background on the Companies’ applications for these proceedings may be found in Lilium N.V.’s Form 6-Ks filed with the U.S Securities and Exchange Commission (the “SEC”) on October 24, 2024, October 28, 2024, October 29, 2024, November 4, 2024, November 6, 2024, November 12, 2024, and December 5, 2024.
In addition, as previously reported on the Form 6-K filed on December 5, 2024, the KPMG-led M&A process aimed at delivering Lilium GmbH’s financial restructuring continues. KPMG has been in discussions with potential investors who have indicated interest in the assets and/or business of the Subsidiaries, which interests are being considered by Lilium GmbH’s creditor’s committee. There can be no assurance that any agreement will be entered into in connection with the sale of all or part of Lilium GmbH’s business. Also in connection with the Subsidiaries’ insolvency process, the Subsidiaries are in the process of terminating the contracts of approximately 200 of their employees. Despite the terminations, the Companies’ goal to secure the preservation and continuation of the Companies by successfully concluding investor talks in the meantime remains unchanged.
