CONTENTS

 

As previously disclosed, on November 6, 2024, Lilium N.V. (the “Company” or “Lilium”) filed a motion for opening of regular insolvency proceedings with the competent insolvency court of Weilheim in Germany. Following the filing of the motion for opening of insolvency proceedings, the court appointed a legal expert to inform the court on the order of the preliminary insolvency administration. On November 8, 2024, the court of Weilheim appointed the legal expert as preliminary insolvency administrator especially to maintain and secure the assets of the Company and continue the business operations of the Company. Additional information and background on the Company’s application for these proceedings may be found in Lilium N.V.’s Form 6-K, filed with the U.S Securities and Exchange Commission (the “SEC”) on November 4, 2024, and November 6, 2024.

 

On November 4, 2024, Niklas Zennström resigned as a member of the Board of directors (the “Board”), as a member of the Sustainability Committee and as a member of the Nominating and Corporate Governance Committee, with immediate effect. In addition, on November 11, 2024, David Wallerstein resigned as a member of the Board, as chair of the Nominating and Corporate Governance Committee and as a member of the Compensation Committee, with immediate effect. Mr. Zennström and Mr. Wallerstein have not advised the Board of any disagreement on any matters related to the operations of Lilium.
